These terms govern the use of walpio (“the service”), a WhatsApp Business gateway operated from India (“walpio”, “we”, “us”). They apply to every business that uses the service (“the client”), together with the written plan agreement we confirm with each client — for example a quote or an order confirmation that sets the plan and price. If the two differ, the written plan agreement takes precedence. Asking for access through the website does not by itself create an agreement.
1. The service
walpio provides an API, a dashboard and an operational layer over Meta's official WhatsApp Business Cloud API: sending and receiving WhatsApp messages on the client's own WhatsApp Business account, handling of WhatsApp's 24-hour customer service window (outside it, only templates Meta has approved are sent), template management, delivery tracking and signed callbacks to the client's own systems. Access is set up through an onboarding we run together with each client.
2. Your account and your Meta relationship
- The client brings its own Meta WhatsApp Business account and remains its owner. Meta's own terms, policies and messaging charges apply directly between the client and Meta, and Meta decides each template's category and price.
- The client keeps a valid payment method on its Meta account. Without one, Meta can stop delivering messages once they become chargeable.
- The client authorises walpio to operate that account for the purpose of providing the service, and provides the necessary credentials, which we store encrypted.
- API keys are confidential. The client is responsible for activity performed with its keys and must tell us promptly if a key may be compromised; keys can be revoked and reissued at any time.
3. Acceptable use
- Messages may be sent only to people who have opted in to hear from the client on WhatsApp, and only for lawful purposes. Opt-out requests must be honoured.
- The client must comply with the WhatsApp Business Messaging Policy, Meta's Commerce Policy and template category rules, and applicable law in the recipients' jurisdictions.
- No spam, harassment, deception, prohibited goods or services, or attempts to probe or disrupt the service.
- We may suspend a workspace immediately if its traffic risks the integrity of the platform or breaks these rules; we tell the client when we do and work with it to resolve the problem.
4. Fees and payment
- Plans are agreed with each client in writing, following the published pricing or a custom agreement, and invoiced directly by walpio. There is no online checkout, and we do not store card details. Published prices are in US dollars; taxes, where they apply, are shown on the invoice.
- Payment terms are those in the plan agreement or on the invoice.
- Plan allowances (numbers, monthly messages, send rate) apply as agreed. If a client consistently exceeds them we propose the right plan — we don't silently bill overages.
- Meta's messaging charges are separate and billed by Meta directly to the client's own Meta account.
- Cancellation and refunds are covered by the Cancellation & Refund Policy.
5. Service quality
We operate the service with professional care on reliable infrastructure, but no service is uninterrupted: WhatsApp delivery ultimately depends on Meta's platform and the recipient's device. The service is provided “as is” without warranties beyond what these terms and the plan agreement state. A public health check is available at api.walpio.com/health.
6. Data
Data handling is described in the Privacy Policy. In short: the client owns its data; we store message metadata and short previews, not full conversation archives; credentials are encrypted; we never sell data; and we export or delete a client's workspace data on request.
7. Intellectual property
walpio's software, brand and site remain ours. Client data, numbers and Meta assets remain the client's. WhatsApp is a trademark of Meta Platforms, Inc.; walpio is an independent product, not affiliated with or endorsed by Meta.
8. Liability
To the maximum extent permitted by law, walpio's total liability arising out of the service in any 12-month period is limited to the fees the client paid to walpio for the service in the 3 months before the event giving rise to the claim. We are not liable for indirect or consequential losses, or for acts of Meta, telecom carriers or the client's own use of the service in breach of these terms.
9. Termination
Unless the plan agreement says otherwise, the client may cancel at any time by email, effective at the end of the period already invoiced. We may terminate for a material breach that isn't remedied within 14 days of notice, or immediately for serious abuse under section 3. On closure we export the client's workspace data on request and then delete it, as described in the Privacy Policy; the client's Meta account continues to work independently of us.
10. Changes to these terms
We may update these terms. Material changes will be sent by email to the client's account contacts at least 14 days before they take effect, and the date above will change.
11. Governing law
These terms are governed by the laws of India, and the courts of India have exclusive jurisdiction, without prejudice to mandatory protections in the client's home jurisdiction.
